Mediam Terms of Service

CADS Morocco “Mediam” (hereinafter also “Mediam” or “we”) agrees to provide you with Mediam’s services, which include but are not limited to providing local support, strategic campaign consulting, optimization recommendations, presenting new products, reporting (referred to collectively as the “Services”) and wants you to enjoy the use of the Service within these terms (hereinafter also “Terms”). It is important that you read these Terms so that you are fully aware of Mediam’s relationship with you as you interact with the Services. By using the Services, you are deemed to have read, accepted, executed and agreed to be bound by these Terms, you represent and warrant that you are at least 18 years of age and that you possess the legal right and ability to enter into these Terms or, if you are accessing the Services on behalf of a legal entity, you represent and warrant that you are authorized to act on behalf of the legal entity and to bind such legal entity to these Terms. Your use of the Services is also subject to your compliance with Google Inc’s Terms of Service, any service-specific additional terms, as they may apply to the usage of Services (referred collectively as “Google’s Terms”). Terms and Google’s Terms may be updated from time to time, at Mediam’s and Google’s sole discretion. You are responsible to check and comply with the applicable version of the Terms and Google’s Terms.

Our Privacy Policy will inform you as to how we look after your personal data when you interact with our Services (regardless of where you visit it from) and tell you about your privacy rights and how the law protects you.

In some cases, to use the Services you will need to register and create an account with third party providers, which include the entry of personal data and the creation of a password. Mediam does not assume any responsibility for any lost, stolen or compromised passwords, or any unauthorized activity on the mentioned accounts. Additionally, we have no ability to control, and are not responsible for, the privacy and data collection, use, and disclosure practices of third party providers’ websites. A third party´s processing of your personal data via the use of the Services is subject to the third party provider´s privacy practices, not Mediam’s, and you are encouraged to read the privacy statements of each website that collects your personal data.

You agree that you are solely responsible for any data, text, audio, video, images, or other content of yours that you create, transmit or display (hereinafter also “Content”) while using the Services and for the consequences of your advertising activities or actions. You additionally warrant that your Content and advertising activities:

  1. do not violate any law or regulation, including but not limited to any law or regulation governing false or deceptive advertising, sweepstakes, gambling, file-sharing, or trade disparagement;
  2. do not contain any misrepresentations or content that is defamatory or violates any rights of privacy or publicity;
  3. do not contain any adult sexual content, pornographic content, any child pornography, or link(s) to such content;
  4. do not contain or link to any malware, spyware or other malicious code;
  5. do not contain any link(s) to software piracy;
  6. do not contain any link(s) to any form of illegal activity or services, drugs, drug paraphernalia, or any controlled substances;
  7. do not contain any gratuitous displays of violence, self-harm, obscene or vulgar language, or abusive content, or content which endorses or threatens physical harm;
  8. do not contain any content promoting any type of hatemongering (i.e. racial, political, ethnic, religious, gender-based, sexuality-based, or personal);
  9. do not and will not infringe any copyright, related right, moral right, database right, trademark, patent, trade secret, or other proprietary right; and
  10. comply with Google's Terms, and any legislation or regulation that might apply to your advertising activities.

You shall be liable for any losses or damages arising from your Content and your advertising activities or actions, including any loss or damage which Mediam may suffer as a result thereto. Mediam shall have no liability for your content and advertising activities, or any products, forms, formats, action or omissions of any other party, or any failure or delay by any other party in performing or observing the Services hereunder, including that of Google.

Mediam, and its affiliates, own and retain all right, title, and interest, including all intellectual property rights, in and to the Service and all technologies related thereto. Mediam also owns and retains all rights in its trademarks, logos and other Madiam’s brand elements. You will be and remain the owner of all rights, title and interest in and to Content. you represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power and/or authority necessary to grant the rights granted herein for Your Content. You agree that Your Content will not contain material subject to copyright or other proprietary rights, unless you have the necessary permission or are otherwise legally entitled to post the material and to grant us the license described above

To the fullest extent permitted by law, Mediam disclaims all warranties, express or implied, including without limitation for noninfringement, satisfactory quality, merchantability and fitness for any purpose. To the fullest extent permitted by law, Mediam disclaims all guarantees regarding positioning, levels, quality, or timing of: (i) costs per click or impression, (ii) click through rates, (iii) availability and delivery of any impressions, ads, or targets, (iv) any user actions, (v) conversions or other results for any ads or targets, (vi) the accuracy of data (including currency exchange rate data and any data-related targeting features) on any Google products.

Mediam can immediately suspend all of the Services, in case you do not comply with these Terms or if the provision of the Services would be prohibited by law, regulation, or any judicial or administrative decision.

While providing the Services, Mediam shall have access to several information, that you might consider confidential, including but not limited to: account ids, budgets, address, email address, phone numbers (hereinafter also “Confidential Information”). You hereby consent to Mediam disclosing such Confidential Information (i) to Mediam affiliates and their respective personnel, in any case, whether located within or outside of Bangladesh, (ii) third party providers, if the disclosure is necessary for provision of Services, and (iii) as may be required by law, regulation, or in connection with any judicial or administrative process. For all other disclosures, Mediam will obtain your prior written approval.

All disputes arising out of or in connection with these Terms shall be finally settled under the Arbitration Rules of the DIAC being in force at the time of commencement of arbitration by one (1) arbitrator appointed in accordance with the said rules. The laws of UAE shall apply and the seat of arbitration shall be Dubai. The language of the proceedings shall be English.

  10. comply with Google's Terms, and any legislation or regulation that might apply to your advertising activities.
